Terms and Conditions

Welcome to Profinity Mutual Fund. These Terms and Conditions (“Terms”) govern your use of the website silver-hawk-397751.hostingersite.com, the Profinity Mutual Funds mobile app (together, the “Platform”) and the mutual fund distribution services offered by Profinity Mutual Fund Distribution Private Limited (“Profinity”, “we”, “us” or “our”).

Please read these Terms carefully. By visiting the Platform, creating an account or investing through us, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Platform or our services. These Terms are an electronic record under the Information Technology Act, 2000 and do not require a physical or digital signature.

1. About Profinity and our role

Profinity is an AMFI-registered mutual fund distributor (ARN-76921, EUIN: E027659; CIN: U67190UP2009PTC037944) with its registered office at 127/T/25, Vinobha Nagar, Kidwai Nagar, Kanpur, Uttar Pradesh – 208014. We have been helping investors since 2009.

  • What we do: we help you discover mutual fund schemes, complete KYC, place purchase, SIP, redemption, switch, STP and SWP requests, and track your portfolio.
  • What we are not: we are not an Asset Management Company (AMC), a bank, a stock broker, a portfolio manager or a SEBI-registered Investment Adviser. We do not manage your money.
  • Guidance, not advice: any information or suggestion we give is incidental to our distribution services and is not personalised investment, tax or legal advice. Investment decisions are yours. Where needed, please consult a SEBI-registered Investment Adviser, a tax professional or a lawyer.
  • Your money goes to the AMC: payments are made directly to the AMC or through the transaction platform, and units are allotted in your own name by the AMC’s Registrar. Profinity never holds your money or your units.

2. Eligibility

  • You must be at least 18 years old and competent to contract under the Indian Contract Act, 1872.
  • Investments in the name of a minor must be made through a parent or court-appointed legal guardian, following SEBI and AMFI rules.
  • Our services are primarily meant for resident Indians. Non-Resident Indians (NRIs) and Persons of Indian Origin may invest subject to FEMA rules and the restrictions of each AMC. Many AMCs do not accept investments from residents of the United States or Canada.
  • Nothing on the Platform is an offer or solicitation to buy or sell any security in any country where it would be unlawful.

3. KYC and your information

  • You must complete KYC as required by SEBI before you can invest, and provide FATCA/CRS and other declarations required by law.
  • All information and documents you give us must be true, accurate, complete and your own. You must tell us promptly if any of it changes.
  • As required by SEBI, the mobile number and email address registered in your folio must be your own or that of an immediate family member (spouse, dependent children or dependent parents), and you may be asked to declare this.
  • We, the AMCs and the Registrars may verify your information with KRAs, the Central KYC Registry, banks and other sources, and may reject or put on hold any application where KYC is incomplete or information cannot be verified.

4. Your account and security

  • You are responsible for keeping your login ID, password, PIN and OTPs confidential, and for all activity carried out through your account.
  • Any instruction received through your account, registered mobile number or registered email address will be treated as given by you, and we may act on it without further verification.
  • Tell us immediately at info@profinitygroup.com or +91 8795 789 789 if you suspect any unauthorised access or transaction.

5. Transactions

  • Processing: we pass your instructions to the AMC, its Registrar or the transaction platform (such as BSE StAR MF). Acceptance, allotment, the applicable NAV, cut-off times, minimum amounts, exit loads, stamp duty and taxes are governed by the scheme documents and SEBI rules. Applicable NAV depends on when the AMC receives your money, not just when you place your request.
  • Payments: investments must be paid from a bank account registered in your own name (or that of the first holder). Third-party payments are not accepted, except in the limited cases allowed by AMFI. Cash is never accepted by Profinity.
  • SIPs and mandates: SIP instalments are debited through the bank mandate (NACH, e-mandate or UPI AutoPay) you register. Please keep enough balance in your account on the SIP date. Your bank may charge you for failed debits, and the AMC may cancel a SIP after consecutive failed instalments. You can pause, modify or cancel a SIP as per AMC rules; changes may take a few working days to take effect.
  • Redemptions: redemption proceeds are paid by the AMC directly into your registered bank account, within the timelines set by SEBI.
  • Accuracy: please check every instruction before you confirm it. Once submitted, transactions usually cannot be cancelled or reversed.
  • Delays and rejections: we are not responsible for any delay, rejection or failure caused by AMCs, Registrars, transaction platforms, banks, payment gateways, KRAs or other third parties, by incorrect information you provide, or by events beyond our reasonable control.
  • Statements: the AMC, its Registrar and the depositories send you the official account statements and Consolidated Account Statements (CAS). Portfolio values shown on our Platform are for convenience and may differ due to timing; in case of any difference, the AMC’s records prevail.

6. Market risk

Mutual Fund investments are subject to market risks, read all scheme related documents carefully.

  • The NAV of a scheme can go up or down depending on market conditions, interest rates, credit risk and other factors. You may get back less than you invested.
  • Profinity does not assure or guarantee any returns, capital protection or dividend (IDCW). Past performance is not indicative of future returns.
  • Before investing, please read the Scheme Information Document (SID), Statement of Additional Information (SAI) and Key Information Memorandum (KIM) of the scheme, and check its riskometer to make sure it suits your goals and risk tolerance.

7. Fees and commission

We do not charge you a separate fee for investing through us. As a mutual fund distributor we offer the regular plans of mutual fund schemes and receive commission (trail and/or upfront, as permitted) from the AMCs. This commission is already included in the scheme’s expense ratio. Regular plans have a higher expense ratio than direct plans of the same scheme, the difference being the distribution cost. Details of the commission we receive from different AMCs are available on request, as required by SEBI and AMFI.

8. Calculators, articles and information

  • Our SIP calculator, goal planners and other tools give illustrative results based on assumed rates of return. They do not represent the actual or expected performance of any scheme, and actual results will vary.
  • Articles, videos, FAQs and other content are for general information and investor awareness only and are not a recommendation to buy or sell any scheme.
  • Scheme data such as NAVs, returns and ratings may come from third-party sources. We try to keep it accurate and current but do not guarantee that it is complete, timely or error-free.

9. Communication

You agree that we may communicate with you electronically, by email, SMS, WhatsApp, app notifications and phone calls, about your account, your transactions, regulatory matters and our services, including where your number is registered on the DND registry, to the extent permitted by TRAI regulations. You can opt out of promotional communication at any time, as explained in our Privacy Policy. Calls with our team may be recorded for quality and compliance purposes.

10. Acceptable use

When using the Platform you agree not to:

  • provide false or misleading information, or use another person’s identity, account or bank details;
  • use the Platform for any unlawful purpose, including money laundering, terrorist financing or fraud;
  • try to gain unauthorised access to our systems, probe or test their security, or upload viruses or harmful code;
  • interfere with or disrupt the Platform, or place an unreasonable load on it;
  • copy, scrape, reverse engineer, resell or reuse any part of the Platform or its content for commercial purposes without our written permission; or
  • impersonate Profinity or its staff, or misuse our name, logo or trademarks.

11. Intellectual property

The Profinity name and logo (Trademark No. 6166617), and all text, graphics, videos, software and design of the Platform, are owned by or licensed to Profinity and protected by Indian and international intellectual property laws. You may view and download content for your personal, non-commercial use only. Scheme names, AMC names and logos belong to their respective owners and are used only to identify their products.

12. Third-party services and links

The Platform relies on and links to third-party services, such as AMCs, Registrars, BSE StAR MF, KRAs, banks, payment gateways, YouTube, Google Maps, WhatsApp and app stores. These services are governed by their own terms and privacy policies. We do not control them and are not responsible for their content, availability, accuracy or practices.

13. Availability of the Platform

We work to keep the Platform available and working well, but it is provided on an “as is” and “as available” basis. It may be unavailable from time to time because of maintenance, upgrades, technical problems or reasons outside our control, such as failures at transaction platforms or banks. We may change, suspend or discontinue any feature at any time. If the app is unavailable, you can contact us by phone or email, or transact directly with the AMC.

14. Limitation of liability

To the maximum extent permitted by law:

  • Profinity is not liable for any loss arising from market movements, the performance of any scheme, or decisions you make based on information on the Platform;
  • Profinity is not liable for any indirect, incidental, special or consequential loss, including loss of profit or opportunity; and
  • Profinity is not liable for losses caused by acts or omissions of third parties, by unauthorised use of your account resulting from your failure to keep your credentials safe, or by events outside our reasonable control.

Nothing in these Terms limits any liability that cannot be limited under applicable law, or any right you have as an investor under SEBI regulations.

15. Indemnity

You agree to indemnify and hold harmless Profinity, its directors, employees and agents from any claim, loss, penalty or expense (including reasonable legal fees) arising from false or incorrect information you provide, your breach of these Terms, or your misuse of the Platform or violation of any law.

16. Suspension and termination

We may suspend or close your access to the Platform or our services, with or without notice, if we reasonably believe that you have breached these Terms, provided false information, engaged in suspicious or unlawful activity, or if required by a regulator, court or law. You may stop using our services at any time by writing to us. Closing your account with us does not redeem your investments; units held in your name remain with the AMC, and you can continue to hold, redeem or transfer them directly with the AMC or through another distributor.

17. Force majeure

We are not responsible for any failure or delay in performing our obligations caused by events beyond our reasonable control, including natural disasters, epidemics, war, riots, strikes, government action, power or internet outages, cyber-attacks, or failures of exchanges, transaction platforms, banks or payment systems.

18. Privacy

How we collect, use, share and protect your personal information is explained in our Privacy Policy, which forms part of these Terms.

19. Complaints and grievance redressal

We take every complaint seriously. If you have a concern about our services:

  1. Contact us first at info@profinitygroup.com or +91 8795 789 789 (Monday to Friday, 10:00 AM to 6:30 PM), or write to our registered office. Please include your name, PAN or folio number, and details of the issue. We will acknowledge your complaint promptly and aim to resolve it within 30 days.
  2. Escalate if you are not satisfied with our response: you may contact the investor service team of the AMC concerned, or AMFI at amfiindia.com.
  3. SEBI: you may lodge a complaint with SEBI through the SCORES portal at scores.sebi.gov.in or the SEBI SCORES mobile app.
  4. Online dispute resolution: if the matter is still unresolved, you may start dispute resolution through the SEBI Online Dispute Resolution (ODR) portal at smartodr.in.

20. Governing law and jurisdiction

These Terms are governed by the laws of India. Subject to the grievance redressal and online dispute resolution mechanisms available under SEBI regulations, the courts at Kanpur, Uttar Pradesh shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or our services.

21. General

  • Entire agreement: these Terms, our Privacy Policy and any account opening forms you sign form the entire agreement between you and Profinity about the Platform and our services. The scheme documents of each AMC also apply to your investments in that scheme.
  • Severability: if any part of these Terms is found to be invalid or unenforceable, the rest will continue in full force.
  • No waiver: if we do not enforce any right under these Terms, that does not mean we have given it up.
  • Assignment: you may not transfer your rights under these Terms. We may transfer ours to a successor business, with notice to you.
  • Language: if these Terms are translated, the English version will prevail in case of any conflict.

22. Changes to these Terms

We may update these Terms from time to time to reflect changes in our services, regulations or the law. The latest version will always be available on this page, with the date it was last updated shown at the top. If we make significant changes, we will let you know through the Platform or by email. Continuing to use the Platform or our services after a change means you accept the updated Terms.
